Meyer. Managing
Director
Prior to
working with DVDXpress, Mr. Meyer was CEO and founder of MBSAuction
LLC, a financial trading platform geared towards institutional
participants in the mortgage-backed securities market. Prior to
that, Mr. Meyer was a Vice President in Fixed Income Trading at
Lehman Brothers where he specialized in mortgage-backed securities
trading. Previous experience includes positions with Merrill Lynch
and the International Swaps and Derivatives Association, as well as
independent consulting to publicly traded supermarket chains for
Non-Foods and Pharmacy merchandising and revenue enhancement. Mr.
Meyer holds an M.B.A. from the Amos Tuck School of Business
Administration and a B.A. in Economics and French from
Dartmouth
College
where he graduated summa cum laude and was a member of Phi
Beta Kappa.
Jason
Tanzer, CFA. Managing
Director
Most
recently, Mr. Tanzer was a Senior Investment Associate with
Hawk Holdings, LLC, a private equity firm that provides capital and
operating expertise to emerging companies in the new media,
entertainment and communications sectors.
He previously worked as a Management Consultant for
PricewaterhouseCoopers where he provided strategic business advisory
services to an array of Fortune 500 clients.
He is an honors graduate of Emory University (B.A. in
Political Science) and New York University’s Stern School of
Business (M.B.A. in Finance) where he was awarded the Price
Fellowship for Entrepreneurship.
Mr. Tanzer holds the Chartered Financial Analyst designation.
Arun
Mathur. Director of Marketing
& Operations
Most
recently, Mr. Mathur was the CEO of Offshore Internet Solutions, a
pivotal provider of offshore IT and IT enabled services.
Mr. Mathur developed the initial groundwork for the company
including the formulation of its business and revenue models,
assembled a technology network and series of joint ventures valued
at $100 million, appointed key leadership, led the business
development efforts, and brought the firm to profitability in its
first year. Previously, Mr. Mathur was the co-founder of World Beer
Direct, where he established the company’s early e-business
presence and built a logistics system and technology infrastructure
equipped to process over 50 million products annually.
Mr. Mathur completed the profitable sale of World Beer Direct
in May 2000.
Mr. Mathur received his Bachelors of Science in Economics and
Information Systems from Boston College’s Carroll School of
Management.
Scott Kaplan. Chief Technology Officer
Mr. Kaplan has 14+ years of hands-on experience in IT consulting,
technology management, and Enterprise-class Software Engineering
R&D. Most recently, Mr. Kaplan was VP of Engineering for Accruent,
the leading Real Estate Contract Management Solutions provider to
the Fortune 1000. Mr. Kaplan was instrumental in providing
technology diligence for three Accruent funding cycles totaling $27
million and two successful technology-backed IP acquisitions.
Previously, Mr. Kaplan served as a Regional Practice Manager and
Principal Architect for Vignette Corporation (NASDAQ: VIGN), the
leader in Enterprise Content and Web Portal Applications to the
Fortune 5000. He helped ramp the Professional Services organization
through 125%+ post-IPO quarterly growth, monitored strategic
national and regional technology partners, and led client
engagements for several high-profile e-commerce website launches. He
received a B.S. in Computer Science from Tulane University School of
Engineering and was awarded the prestigious Dean's Scholarship while
earning a dual M.B.A. in Finance and International Business from the
University of Colorado. In addition, Mr. Kaplan holds a pending
business process patent in the field of Insurance Risk Management.
Charles
D. Ruttan. General
Counsel
Mr. Ruttan has been admitted to
practice law in New York, Oregon and Texas. He received his
undergraduate degree in accounting from California State University
and his J.D. degree from Willamette University College of Law. He
was a corporate and real estate partner in the Portland Oregon law
firm of Dunn, Carney, Allen, Higgins & Tongue where he focused on
corporate and business counseling and business and real estate
transactions for nationally recognized companies such as Philip
Morris Companies, Carnation, Miller Brewing Company and Safeco as
well as numerous small and medium sized regional companies. Mr.
Ruttan left Dunn Carney in 1993 to become the Chief Executive
Officer of a golf equipment manufacturing company in Houston Texas.
In 1996 he purchased a ladies footwear design and manufacturing
company in New York City. He is a member of the Association of the
Bar of the City of New York, the New York State Bar Association and
the American Bar Association.
Alan Eisenberg. Advisor
Alan Eisenberg is
Managing Partner of Glocap Funding LLC, a boutique investment
banking firm located in New York. Prior to establishing Glocap
Funding, Alan was CEO of Vending Consolidators of America, Inc. ("VendCon"),
a company he established to roll-up the highly fragmented soda and
snack vending industry. He identified the industry as appropriate
for consolidation, wrote the business plan, arranged private equity
and senior debt, and ran the company on a day to day basis. Under
his guidance, VendCon grew to become the largest pure vending
company in the New York tri-state area. VenCon was purchased by a
large international foodservice company in March 2000 resulting in
an internal rate of return in excess of 40% to shareholders. Prior
to establishing VendCon, Alan was Managing Director of MeesPierson
Inc., a large Dutch investment bank that at the time was wholly
owned by ABN AMRO Bank. During his seven years at MeesPierson, Alan
was involved in the origination, negotiation, structuring and
private placement of more than $900 million of equity and debt
securities. Prior to joining MeesPierson in 1990, Alan was a Second
Vice President at JP Morgan Chase, where he worked in the North
American Corporate Finance Division and the Special Investments
Division. Alan graduated Cum Laude from the University of
Massachusetts-Amherst in 1985.
Merrill Dean.
Advisor
Mr. Dean started his business
career with the Walt Disney Company.
During his 11+ years in management with Disney, Mr. Dean
served as President of Disney’s Music Division, Head of the
Worldwide Publishing Division, founded the new area of “animation
art cell marketing”, initiated Disney’s involvement in the field
of Direct Marketing books, records and book clubs, and was Latin
American Marketing Manager for the International Motion Picture and
Television Sales Division- Buena Vista International.
Mr. Dean later founded and was CEO of Televisa Intl Marketing
Inc.( a US subsidiary of Grupo Televisa SA), and acquired the
Columbia Picture’s Spanish Film Division.
In 1995, Dean brought Warner Brothers and the Bavaria Film
Studios together in the creation of the first European “Warner
Movie World” theme park- a $450 million project located in
Germany. Recently, Mr.
Dean served as one of the founders of Adforce, Inc., an Internet ad
serving technology firm with a market capitalization of $1.5 billion
when acquired in January, 2000.
Mr. Dean studied Business
Administration at UCLA and holds and MBA in Marketing and a BS in
Business.

C. Kessler. Advisor
Mr. Kessler was
most recently a Vice President in Media Investment Banking with
Morgan Stanley where he executed over $14 Billion of equity, debt
and M&A transactions in media and communications including
Cable/Broadband, Advertising, and Publishing.
Deals included: Charter ($3.7 Bn IPO); Cox ($500MM
monetization); Insight ($648MM IPO, $200MM high yield); RCN ($593MM
restructuring)- Broadband Technologies:
Core member of team to develop coverage strategy for emerging
interactive television industry, ReplayTV, Inc ($125MM sell-side);
Into Networks ($30MM private placement); TVN ($200MM units
offering)- Advertising: Interpublic
Group of Companies, Inc. ($361MM convertible notes)- Publishing:
The Peterson Companies ($1.4Bn sell-side); Viacom ($4.6Bn
sell-side of Simon & Schuster); Ziff-Davis ($1.9Bn various
sell-side M&A assignments).
Mr. Kessler managed/created valuation models including DCF,
comparable companies, precedent transaction, asset break-up, and
leveraged buy-out analyses. He
managed/developed comprehensive financial models for numerous
transactions including high-yield, senior loan funding, equity and
equity-related offerings, private equity investments, LBO’s and
M&A. Mr Kessler
holds a B.A. in Economics and African Studies from the University of
Virginia and an MBA with Distinction from New York
University.
